Terms of Service

Agreement

These terms are an agreement between you and MartinG Technologies, LLC (“we”, “us”) covering your use of AudioTranscribr: the website at https://audiotranscribr.com, the API at https://api.audiotranscribr.com, and related documentation (the “service”). By creating an API key or using the service you accept them. If you use the service for an organisation, you accept on its behalf and confirm you are authorised to.

The service

The service converts audio and video you submit into text and related files using automated speech recognition. We may add, change or remove features. If a change materially reduces what a paid plan provides, we will give reasonable notice.

Accounts and API keys

Keep your API keys confidential. You are responsible for all activity under your keys, including usage charges. If a key is exposed, rotate it immediately (POST /v1/billing/rotate-key) and tell us if you suspect misuse. Provide a working email address; we use it for service and billing notices.

Your content

You keep all rights to the media you submit and the transcripts produced. You grant us, and the providers listed in our Privacy Policy, permission to store, process and transmit that content only as needed to provide the service to you.

You confirm that you have the right to submit the content, including any consent required from people who are recorded, and that processing it for you does not break any law or anyone’s rights.

Acceptable use

You may build products and services on top of the API, including commercial ones. You may not:

• submit content that is unlawful, or that you have no right to process;
• use the service to violate anyone’s privacy or intellectual-property rights, or for unlawful surveillance;
• try to get around rate limits, quotas or billing, including by creating multiple free accounts;
• probe, disrupt or overload the service, or access other customers’ data;
• resell raw access to the API as a competing transcription API without our written agreement.

We may suspend or limit access, without notice if necessary, to stop abuse, protect the service or comply with the law.

Plans, billing and cancellation

Paid plans are billed in advance each month through Stripe and renew automatically until cancelled. Each plan includes a monthly allowance of audio; on plans with overage, audio beyond the allowance is metered per second and billed in arrears at the plan’s overage rate. Pay-as-you-go usage is billed in arrears. The Free plan stops accepting new transcriptions when its allowance is used.

You can change plan or cancel at any time from the billing portal or the API. Cancellation takes effect at the end of the current billing period, and your key stops working then. Upgrades and downgrades are prorated.

Fees are non-refundable except where the law requires otherwise. If you believe you were charged in error, contact us within 60 days and we will put it right.

If a payment fails we will retry it; if it still fails we may suspend the account. Prices exclude taxes, which are added where applicable. We may change prices or plans with at least 30 days’ notice to subscribers; changes apply from your next renewal.

Limits and availability

Rate limits, request quotas and concurrency limits apply per plan and are described on the pricing page and in the documentation. We work to keep the service available and fast but do not offer an uptime commitment or service-level agreement on these plans. Submitted media and results are deleted on the schedule in the Privacy Policy — download what you need to keep.

Accuracy

Transcripts are produced by automated speech recognition and will contain errors, particularly with poor audio, overlapping speakers, accents, uncommon names and technical terms. Speaker labels are estimates. Review transcripts before relying on them, and do not use unreviewed output where mistakes could cause harm — for example as a legal, medical or safety record.

Disclaimers

The service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Limitation of liability

To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim arose, or US $100. Nothing in these terms limits liability that cannot lawfully be limited.

Indemnity

You will defend and indemnify us against third-party claims arising from content you submit or from your breach of these terms.

Ending the agreement

You may stop using the service and cancel at any time. We may suspend or end your access if you materially breach these terms, if required by law, or if we discontinue the service — in which case we will give reasonable notice and refund any prepaid fees for the period after the service ends. Sections that by their nature should survive (content rights, fees owed, disclaimers, liability, indemnity) survive.

General

These terms are governed by the laws of the United States and of the state in which MartinG Technologies, LLC is organised, without regard to conflict-of-laws rules, and the courts located there have exclusive jurisdiction, unless the law where you live gives you rights that cannot be waived. If part of these terms is unenforceable, the rest remains in effect. We may update these terms; we will change the date at the top and, for material changes, email account holders at least 30 days before they apply. Continued use after that means you accept the updated terms.
