Terms of Service

Agreement

These terms are an agreement between you and Ukonnecta LLC (“we”, “us”) covering your use of AudioTranscribr: the website at https://audiotranscribr.com, the API at https://api.audiotranscribr.com, and related documentation (the “service”). By creating an API key or using the service you accept them. You must be at least 18 years old, or the age of majority where you live. If you use the service for an organisation, you accept on its behalf and confirm you are authorised to.

If you use the API through a marketplace such as RapidAPI, the marketplace’s terms govern your subscription and payment, and the section on plans and billing below does not apply to you; everything else does.

The service

The service converts audio and video you submit into text and related files using automated speech recognition. For a YouTube link, the service retrieves the video’s existing caption track and produces the files from that; it does not download the video or audio, cannot label speakers, and cannot import a video that has no captions. We may add, change or remove features. If a change materially reduces what a paid plan provides, we will give reasonable notice.

Accounts and API keys

Keep your API keys confidential. You are responsible for all activity under your keys, including usage charges. If a key is exposed, rotate it immediately (POST /v1/billing/rotate-key) and tell us if you suspect misuse. Provide a working email address; we use it for service and billing notices.

On plans that include a team, the account owner may invite other people to work in the account. Members use the owner’s plan and allowance, can see and download every transcription in the account, and can delete those they added. The owner is responsible for members’ use of the service under these terms, and may remove a member at any time; the content belongs to the account, not to the member who added it. A member keeps their own separate account.

Your content

You keep all rights to the media you submit and the transcripts produced. You grant us, and the providers listed in our Privacy Policy, permission to store, process and transmit that content only as needed to provide the service to you.

You represent and warrant that (i) you own or have all rights and permissions needed to submit your content and have us process it; (ii) every recording you submit was made lawfully, including by giving every notice and obtaining every consent required from each person recorded under applicable recording, wiretap, eavesdropping, privacy and biometric laws (some U.S. states and countries require the consent of all parties to a conversation); and (iii) your use of transcripts and summaries complies with the law. The same applies to a YouTube video you link to: you are responsible for your use of its captions, and for complying with YouTube’s terms and the rights of the video’s owner.

You will indemnify Ukonnecta LLC against claims arising from your breach of the previous paragraph.

Acceptable use

You may build products and services on top of the API, including commercial ones. You are responsible for your own users and for what they submit through your product. You may not:

• submit content that is unlawful, or that you have no right to process;
• use the service to violate anyone’s privacy or intellectual-property rights, or for unlawful surveillance — including recording people without the consent the law where they are requires;
• try to get around rate limits, quotas or billing, including by creating multiple free accounts;
• probe, disrupt or overload the service, or access other customers’ data;
• resell raw access to the API as a competing transcription API without our written agreement.

We may suspend or limit access, without notice if necessary, to stop abuse, protect the service or comply with the law.

Plans, billing and cancellation

Paid plans are billed in advance each month through Stripe and renew automatically until cancelled. Each plan includes a monthly allowance of audio; on plans with overage, audio beyond the allowance is metered per second and billed in arrears at the plan’s overage rate. Pay-as-you-go usage is billed in arrears. The Free plan stops accepting new transcriptions when its allowance is used.

You can change plan or cancel at any time from the billing portal or the API. Cancellation takes effect at the end of the current billing period, and your key stops working then. Upgrades and downgrades are prorated.

Where a plan is offered by the year, it is billed in advance for twelve months, keeps the same monthly allowance (which does not accumulate), has no overage, and renews automatically until cancelled. Switching between monthly and yearly billing is prorated.

Top-up packs are one-off purchases of extra minutes or YouTube videos on a paid plan. A pack is added to your account once it is paid for, is used only after the plan’s own allowance for the period, carries over from month to month until used, and ends if the account is closed. If you switch on automatic top-ups, you authorise us to charge your saved card for the pack you chose each time what is left falls below the amount shown, up to the monthly limit you set. We email you after each automatic charge; you can change the limit or switch automatic top-ups off at any time in the dashboard. If an automatic charge fails, automatic top-ups pause until you turn them on again.

Promotional codes apply as stated at checkout, usually to the first payment only, once per customer, and cannot be combined or exchanged for cash. We may end a promotion at any time; a discount already applied to a subscription is honoured for the period stated.

The Free plan is limited to one account per person or organisation and is provided while we choose to offer it. We may change its allowance or withdraw it with at least 30 days’ notice on the website, and we may close free accounts that have not been used for 12 months.

Fees are non-refundable except where the law requires otherwise. If you believe you were charged in error, contact us within 60 days and we will put it right. Nothing here removes rights you have as a consumer under the law where you live, including any right to cancel within a statutory period.

If a payment fails we will retry it; if it still fails we may suspend the account. Prices exclude taxes, which are added where applicable. We may change prices or plans with at least 30 days’ notice to subscribers; changes apply from your next renewal.

Automatic renewal. Before you pay for a paid plan we show you its renewal terms (price, how often you are charged, that it continues until you cancel, and how to cancel) and ask you to agree to them, and we email you a confirmation to keep. Monthly plans: every renewal email states the amount and how to cancel, and once a year we send a reminder. Yearly plans: we email you about 35 days and again about 10 days before each renewal. If you subscribed at a promotional price, we email you before the first charge at the regular price. You can cancel online at any time from your dashboard; you never have to call or write to us to cancel.

Limits and availability

Rate limits, request quotas and concurrency limits apply per plan and are described on the pricing page and in the documentation. We work to keep the service available and fast but do not offer an uptime commitment or service-level agreement on these plans. Submitted media and results are deleted on the schedule in the Privacy Policy — download what you need to keep.

Accuracy

Transcripts are produced by automated speech recognition and will contain errors, particularly with poor audio, overlapping speakers, accents, uncommon names and technical terms. Speaker labels are estimates, and the service does not identify who a speaker is. Review transcripts before relying on them, and do not use unreviewed output where mistakes could cause harm — for example as a legal, medical or safety record, or as evidence that someone said something.

Disclaimers

The service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Limitation of liability

To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim arose, or US $100. Nothing in these terms limits liability that cannot lawfully be limited.

Copyright complaints

If you believe something stored on the service infringes your copyright, send a notice to our designated agent: Copyright Agent, Ukonnecta LLC, 2500 Dallas Hwy, Suite 202-1038, Marietta, GA 30064, USA, +1 478-818-2522, info@audiotranscribr.com.

The notice must include: your physical or electronic signature; the copyrighted work you believe is infringed; the material you believe infringes it and where it is (a link or transcription identifier); your name, address, phone number and email address; a statement that you believe in good faith the use is not authorised by the owner, its agent or the law; and a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorised to act for the owner.

We remove or disable access to the material promptly and tell the customer who submitted it, who may send a counter-notice. We close, in appropriate circumstances, the accounts of customers who repeatedly infringe.

Indemnity

You will defend and indemnify us against third-party claims arising from content you submit or from your breach of these terms.

Ending the agreement

You may stop using the service and cancel at any time. We may suspend or end your access if you materially breach these terms, if required by law, or if we discontinue the service — in which case we will give at least 30 days’ notice and refund any prepaid fees for the period after the service ends. When your access ends, download what you need: your media and transcripts are deleted on the schedule in the Privacy Policy, or sooner. Sections that by their nature should survive (content rights, fees owed, disclaimers, liability, indemnity) survive.

Assignment

We may assign or transfer these terms, with our rights and obligations under them, to an affiliate or to a successor in a merger, acquisition, reorganization or sale of all or part of our business or assets; we will tell account holders by email when that happens. You may not assign these terms without our written consent. These terms bind and benefit each party’s permitted successors and assigns.

General

These terms are governed by the laws of the United States and of the State of Georgia, without regard to conflict-of-laws rules, and the state and federal courts located in Georgia have exclusive jurisdiction, unless the law where you live gives you rights that cannot be waived. If part of these terms is unenforceable, the rest remains in effect. We may update these terms; we will change the date at the top and, for material changes, email account holders at least 30 days before they apply. Continued use after that means you accept the updated terms.
